John qualified as a Solicitor in 1986 and has 35 years’ experience of commercial law. Upon qualification John worked in the Commercial Department at the head office of a major Birmingham firm subsequently returning to the Northwest to work for a leading Manchester firm.
John left Manchester to become a Partner in a niche Commercial Practice based in Warrington which merged with FDR in 1997. John was a Partner and Board Member of FDR throughout that period.
John’s specialism is in the field of commercial law advising a variety number of businesses on commercial matters including commercial agreements, corporate acquisitions and disposals including management buy outs, share buyback transactions, preference share legal issues, employment, insolvency and re-structuring and dispute resolution including property litigation.

Purchase of Shares - advising on the sale of 100% of the shares in a nursery business as a part of a wider disposal strategy of business and assets including deferred consideration, earn outs and security. Negotiating the suite of transaction documents and preparing the completion documentation.
Purchase of Shares - advising a multi-national group in relation to their acquisition of a UK subsidiary. Dealing with Heads of Terms, Share Purchase Agreement, and all ancillary documentation. Advising on post completion integration and restructuring.
Shareholders Agreement - preparing a Shareholders Agreement and amending Articles for a national building consultancy. Advising the parties on minority shareholder protection, good and bad leaver, cross-option arrangements, keyman protections and compulsory purchase of shares.
Revolving Loan Facility Agreement - advising on a secured revolving Loan Facility Agreement together with personal and corporate guarantees structured to facilitate investment in a multi-site car dealership, including drafting the Loan Facility Agreement, Personal and Corporate Guarantees, board minutes, and documentation for independent legal advice.
Management Agreements - drafting suite of complex management agreement for a multi-national business in which a UK subsidiary provides management and administrative services for another UK subsidiary.
Loan Notes - acting for the lenders, a company limited by guarantee, in relation to the drafting of Unsecured Loan Note Instruments to support a significant building project
