Theodora is a consultant and dual qualified solicitor with a range of experience internationally.

She has practised as an in-house solicitor, company secretary/legal adviser in financial institutions, general counsel for a large charity and has held other roles as Guest lecturer and in-house solicitor for Not-for-profit organisations. She sits on the boards of charities apart from being an in-house counsel and serves on the management committees of other local Not for Profit organisations.

Theodora has an active practice across all aspects of charity laws, administration, and governance. Theodora is an active charity trustee who has a hands-on perspective on both the law and the practical workings of Charities. This has enabled her to understand her charity trustee clients’ goals and their charities’ problems and opportunities which are wide ranging.

Theodora helps to create a balance between the charities’ community, social care, and commercial expectations with the unique legal and sometimes onerous regulatory requirements of the charity commission and has been successful in appeals against the commission’s decisions.She thinks ahead for the charities from the insight that she has garnered over the years and keeps her clients up to date with the latest charity laws and best practice.

  • Liaising with charity commission & making appeals against their decisions.

  • Advisory-on Trustees’ duties, legal updates, draft /amend constitution and on a wide variety of questions arising from the formation, registration, and administration of charities particularly CIOs.

  • Advising on composition of Board of Trustees, website and data legal issues, staffing, managing volunteers and drafting various policies.

  • Charity Legacy Management – managed legal documentation and optimise gifts left to Charities in peoples’ Wills.

  • Charitable Incorporated Organisations (CIO) - restructuring, constitution amendments and switch from registered charity to CIO

  • Governance and compliance – Advising on best practice, governance issues, compliance, and obligations to the Charity commission.

  • Funding - in her work as an in-house Solicitor and Trustee, Theodora has been actively involved in diverse Grants, Funding and fund raising activities.

  • Trading - advises on how a Charity can successfully trade and the formation of trading subsidiaries.

  • Sponsorship Management Systems - sets up Sponsorship Management Systems, secures sponsorship licences and guides in the issuance of certificates of sponsorship, offers guidance on how charities can engage employees and charity workers outside the UK in full compliance with Immigration rules.

  • Community Interest Companies - Advising on the formation and setting up of a Community Interest Company (CIC) with guidance on appropriate legal documentation and policies and restructuring and switch from a Community Interest Company to a CIO.

  • IP and data protection - guidance on Data Protection, GDPR and social media and securing the Intellectual Property of the Charity using NDAs, trademarks, and Copyrights to prevent others from exploiting it.

  • Advising on safeguarding-Vulnerable adults and Child protection

  • Registration with HMRC and setting up Charity tax reliefs, VAT and Gift aid claims.
