Louisa is a Partner and Head of Department in the Corporate Commercial and Employment departments.
She undertakes a range of commercial work from advising on mergers and acquisitions, management buy outs, share sales and joint ventures, group restructures, employee share schemes, shareholders agreements, shareholder protection and business start-ups.
Louisa also advises a range of corporate and individual clients on various employment law related matters. Her work includes dealing with employment issues arising out of corporate transactions, restrictive covenants, unfair dismissal claims, redundancy advice, settlement agreements and generally giving pragmatic advice on the many employer/employee disputes that can arise.
Purchase of Shares - advising a multi-national group in relation to the acquisition of healthcare subsidiaries in the UK and Ireland. Dealing with Heads of Terms, Share Purchase Agreement and all ancillary documentation.
Asset Purchase - advising on the purchase of a beauty business, including advice on the transfer of employees from the Seller to the Buyer in accordance with the Transfer of Undertakings (Protection of Employment) Regulations 2006.
Investment Agreement - drafting and negotiating an Investment Agreement and related transaction documents, including but not limited to bespoke Articles of Association, Facility Agreements and security documentation.
Shareholders Agreement - preparing a Shareholders Agreement and amending Articles of Association for a property development company. Advising the parties on minority shareholder protection, good and bad leaver and compulsory purchase of shares.
LLP Agreements - advising a healthcare business on setting up an Limited Liability Partnership and drafting and negotiating the LLP Agreement.
Partnership Deed - advising a property development partnership and drafting and finalising the Partnership Deed.
Employment Tribunal - instructed on behalf of the Claimant on a high value disability, age and sex discrimination case.
Employment Tribunal - instructed on behalf of the Respondent in relation to an unfair dismissal and discrimination claim.
